Part I — License Terms & Conditions

1. The Product

Urban Loop Studio ("ULS," "we," "us") offers pre-designed, prototypical residential floor plan sets ("Plans") as digital downloads. Plans are created as general reference documents and are not prepared for any specific site, location, structure, jurisdiction, climate zone, zoning code, or regulatory requirement. Purchasing a Plan does not constitute the practice of architecture or engineering for your project.

2. License Granted

Upon purchase you receive a non-exclusive, non-transferable, single-use license to use the Plan for the construction of one (1) residential structure at one (1) location. This license permits you to:

• Share the Plan with licensed professionals (architects, engineers, contractors) involved solely in your licensed project.
• Modify the Plan through licensed professionals as required for your project and jurisdiction.
• Submit modified and professionally sealed documents to governmental authorities for permit review.

3. License Restrictions — What Is Not Permitted

This license explicitly prohibits:

• Using the Plan for more than one (1) structure or more than one (1) location without purchasing an additional license.
• Reselling, sublicensing, or redistributing the Plan files, modified or unmodified.
• Removing, altering, or obscuring any copyright notices or attribution embedded in the files.
• Representing the Plan as your own original work or as prepared by you or your firm.
• Using the Plan for commercial development of multiple units without a written Multi-Build License Agreement from ULS.

4. Multi-Build Licensing

Builders, developers, or investors wishing to construct the same plan design at multiple locations must obtain a Multi-Build License. Contact Urban Loop Studio for multi-build licensing terms and pricing.

5. What Is Included in Your Plan Set

Standard plan sets include PDF and CAD files as described on the product listing at the time of purchase. Files are delivered digitally. No physical prints, wet-stamped drawings, engineering calculations, structural engineering reports, energy compliance reports, soils reports, site plans, or jurisdiction-specific permit sets are included unless explicitly stated in the product listing.

6. Professional Review Required

Our Plans are pre-designed prototypical residential design documents. Before using any Plan for construction purposes, you are solely responsible for:

• Retaining a licensed architect, engineer, and/or other design professional as required by your local jurisdiction to review, adapt, stamp, and seal the Plan for your specific project.
• Ensuring the Plan is modified as necessary to comply with all applicable local, state, and federal building codes, zoning ordinances, energy codes, accessibility requirements, and other regulations.
• Obtaining all required governmental approvals, permits, and inspections prior to and during construction.
• Verifying that the Plan is suitable for your specific site conditions, soil type, climate zone, topography, setbacks, easements, and any other site-specific factors.

7. No Compliance Guarantee

Urban Loop Studio makes no representation or warranty that any Plan, as delivered, complies with the building codes, zoning regulations, or permit requirements of any jurisdiction. Code compliance is the sole responsibility of the purchaser and their retained professionals. Purchase of a Plan is not a guarantee that a building permit will be issued.

8. No Architectural or Engineering Services

The sale of a ready-made floor plan does not constitute the rendering of architectural or engineering services by Urban Loop Studio for your specific project. ULS does not act as the architect or engineer of record for projects built from ready-made plans. ULS does not provide structural engineering, MEP (mechanical, electrical, plumbing) engineering, civil engineering, geotechnical services, or licensed professional services of any kind as part of a ready-made plan purchase.

9. Intellectual Property

All floor plan designs, drawings, images, CAD files, PDFs, and related documents sold by Urban Loop Studio are the exclusive intellectual property of ULS and are protected by United States copyright law and applicable international treaties. Your purchase grants a limited license only; no copyright ownership or intellectual property rights are transferred. Unauthorized reproduction, redistribution, or commercial use beyond the scope of this license may subject you to civil and criminal liability under copyright law.

10. Disclaimer of Warranties

PLANS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT. ULS DOES NOT WARRANT THAT ANY PLAN WILL MEET YOUR REQUIREMENTS OR THAT ITS USE WILL RESULT IN A PERMITTED, BUILDABLE, OR STRUCTURALLY SOUND PROJECT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL URBAN LOOP STUDIO, ITS PRINCIPALS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, A PLAN — INCLUDING BUT NOT LIMITED TO LOSSES ARISING FROM CONSTRUCTION DEFECTS, PERMIT DENIALS, STRUCTURAL FAILURES, CODE NON-COMPLIANCE, OR ANY OTHER PROJECT-RELATED OUTCOME — EVEN IF ULS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ULS'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM A PLAN PURCHASE SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC PLAN AT ISSUE.

12. Indemnification

You agree to indemnify, defend, and hold harmless Urban Loop Studio and its principals, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of a Plan; (b) any construction, modification, or development undertaken using a Plan; (c) your violation of this Agreement; or (d) any third-party claim arising from your project.

13. Delivery & Access

Plans are delivered as digital files upon confirmed payment. Delivery is to the email address provided at checkout. ULS is not responsible for delivery failures caused by incorrect email addresses, spam filters, or email system errors. If you do not receive your files, contact us and we will re-send.

14. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from this Agreement shall be resolved exclusively in the state or federal courts located in Dallas County, Texas. You consent to the personal jurisdiction of those courts.

15. Entire Agreement & Modifications

This Agreement, together with the Return & Refund Policy below, constitutes the entire agreement between you and Urban Loop Studio with respect to ready-made floor plan purchases and supersedes all prior representations, warranties, or agreements. ULS reserves the right to update these terms at any time. Continued use of our plans after a posted update constitutes acceptance of revised terms.

All Sales Are Final — Digital Products

All purchases of ready-made floor plan sets and digital file products from Urban Loop Studio are final. Because our floor plans are digital files delivered immediately upon purchase, we do not offer refunds, exchanges, or store credits once a plan has been accessed or downloaded.

Why We Cannot Offer Refunds

Floor plan files are delivered digitally and cannot be returned once accessed. Granting refunds after digital delivery would allow the same product to be retained without payment, which is not a viable policy for a design studio. We appreciate your understanding.

Please Review Before You Purchase

We strongly encourage you to review all plan details — including square footage, bedroom and bathroom count, garage configuration, design style, and included files — before completing your purchase. If you have questions about a specific plan prior to buying, please contact us. We are happy to help you select the right plan.

Limited Exception

Refund consideration may be extended in the following limited circumstances only:

• Where required by applicable law.
• Where the file delivered is materially different from what was described at the time of purchase (e.g., incorrect plan delivered).

Requests must be submitted within 7 days of purchase with full documentation of the issue. ULS reserves sole discretion to determine whether an exception applies.

Delivery Issues

If you experience a technical problem with your download or did not receive your file, please contact us immediately and we will resolve it promptly at no charge.
